1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the CityPulse mobile application, website, business portal, content, features, promotions, and related services (collectively, the "Service") operated by CityPulse LLC ("CityPulse," "we," "our," or "us").
By accessing or using the Service, creating an account, submitting a business application, posting or managing an event, using a promotion, purchasing or receiving promotional credits, or otherwise interacting with CityPulse, you agree to these Terms and to our Privacy Policy. If you do not agree, do not access or use the Service.
If you use CityPulse on behalf of a business, venue, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" include both you individually and the entity you represent.
2. What CityPulse Does
CityPulse is a local discovery platform that helps users find events, specials, venues, promotions, businesses, and local experiences. CityPulse also gives businesses and authorized business users tools to create and manage business profiles, event listings, promotional placements, and related analytics.
Unless we expressly state otherwise in writing, CityPulse is not the organizer, host, promoter, ticket seller, venue operator, employer, agent, representative, or guarantor of any business, venue, event, performer, user, ticketing provider, or third-party service listed on or linked from the Service.
3. Eligibility and Accounts
You must be at least 13 years old to use CityPulse. Some events, venues, offers, or features may be restricted to users who are 18+, 21+, or otherwise legally eligible. You are responsible for complying with all age restrictions, venue rules, and applicable law.
You agree to provide accurate, current, and complete account information and to keep your login credentials secure. You are responsible for all activity under your account unless the activity is caused by CityPulse's own security failure.
CityPulse may require email verification, business verification, multi-factor authentication for certain users, admin approval, or other security or trust steps. We may refuse, suspend, limit, or terminate accounts that violate these Terms or create legal, safety, security, fraud, reputational, or operational risk.
4. Consumer User Rules
Consumer users may browse, search, filter, save, share, and receive information about local events and businesses. Some features may require an account, location permission, notification permission, or other settings.
Event details, pricing, age restrictions, hours, menus, specials, ticket availability, capacity, safety rules, and venue policies can change. You are responsible for confirming important details directly with the venue, organizer, ticketing provider, or business before attending an event, purchasing a ticket, making a reservation, or relying on a listing.
You are responsible for your own conduct and decisions when using CityPulse, attending events, visiting venues, meeting other people, traveling, purchasing tickets, using promotions, or interacting with third-party services.
5. Business Accounts and Authorized Users
Businesses must provide accurate, current, and complete information during application, verification, onboarding, listing creation, and promotion setup. A person submitting or managing a business profile represents that they are authorized to act on behalf of that business.
CityPulse may approve, deny, verify, re-verify, suspend, remove, or limit business accounts, authorized users, listings, uploaded content, promotions, or account features at any time for safety, quality, fraud prevention, legal compliance, user experience, operational, or policy reasons.
Businesses are responsible for the accuracy, legality, availability, and completeness of their profiles, events, specials, menus, prices, age restrictions, ticket links, reservation links, images, descriptions, promotions, and related content. Businesses are also responsible for honoring offers they publish and for clearly disclosing material terms, limitations, deadlines, and restrictions.
After a business application is approved, some profile fields may require CityPulse approval to change. CityPulse may restrict changes to sensitive fields, including business identity, ownership or authorization information, address, verification information, and other trust-related information.
6. Event Posting Rules
Business users and approved event managers must create listings in good faith and must keep event information accurate and current. Event listings should include the correct title, venue, date, time, description, age gate, price or price text, ticket or reservation information, category, tags, images, and material restrictions when applicable.
Recurring events, multi-day events, offsite events, cancellations, postponements, sold-out events, venue changes, private events, invitation-only events, and changes to specials or prices must be updated promptly when the business knows or reasonably should know of the change.
Businesses may not post fake events, misleading events, duplicate spam listings, bait-and-switch offers, expired promotions, unauthorized events, illegal events, unsafe events, discriminatory offers, or listings that violate applicable law, venue rules, intellectual property rights, privacy rights, app-store policies, or CityPulse policies.
CityPulse may review, reject, edit for formatting, reclassify, label, limit distribution of, remove, or disable any event, business profile, promotion, image, menu, link, or other content at any time. CityPulse may also require additional verification before publishing or continuing to display a listing.
7. Promotions, Sponsored Placement, and Beta Credits
CityPulse may allow businesses to create promoted listings, sponsored placements, special offers, and other paid or prioritized visibility. A promoted or sponsored placement means paid or prioritized visibility within the Service; it does not mean CityPulse endorses, guarantees, sponsors, or certifies the business, event, offer, venue, or outcome.
CityPulse does not guarantee impressions, clicks, views, saves, shares, attendance, revenue, ranking, placement, conversion, or any other result from any listing, promotion, sponsored placement, or beta credit unless a separate written agreement expressly states otherwise.
During beta or promotional periods, CityPulse may provide promotional credits, trial placements, discounts, or other limited benefits. Promotional credits have no cash value, cannot be sold, transferred, exchanged, refunded, or redeemed for cash, and may expire, be limited, or be revoked according to the applicable beta or promotional rules. Unless CityPulse states otherwise in writing, beta promotional credits expire at public launch or on August 15, 2026, whichever comes first.
Promotions and placements are subject to approval, inventory, availability, technical limitations, policy compliance, and scheduling limitations. CityPulse may adjust, reject, pause, remove, or reclassify promoted placements for quality, fraud prevention, legal compliance, user experience, or policy reasons.
8. Payments, Fees, Taxes, and Refunds
If CityPulse enables paid promotions, subscriptions, business tools, paid placements, or other paid services, the applicable price, billing period, payment terms, renewal terms, cancellation terms, and refund terms will be shown before purchase or described in a separate order, invoice, checkout screen, promotion agreement, or written agreement.
Unless required by law or expressly stated in writing, fees are non-refundable once the paid placement, subscription period, campaign, credit package, or service begins. CityPulse may use third-party payment processors, and payments may be subject to additional processor terms. You are responsible for applicable taxes, failed-payment fees, chargebacks, and amounts owed, except where prohibited by law.
9. Content and License to CityPulse
"Content" means information, text, images, logos, menus, links, descriptions, event details, promotions, feedback, and other material submitted, uploaded, posted, or transmitted through the Service.
You retain ownership of Content you submit, subject to the license you grant CityPulse. You represent and warrant that you have all rights, permissions, licenses, consents, and authority necessary to submit the Content and to grant CityPulse the rights described in these Terms.
You grant CityPulse a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify for formatting, create previews or thumbnails of, promote, analyze, and otherwise use your Content as reasonably necessary to operate, improve, market, and provide the Service. This license includes the right to display business and event content in the app, website, emails, push notifications, social media, marketing materials, partner integrations, and other CityPulse channels.
You are responsible for your Content. CityPulse does not assume responsibility for verifying all user-submitted or business-submitted Content, although we may review, moderate, edit, reject, reclassify, or remove Content at our discretion.
10. Prohibited Content and Conduct
You may not use the Service to post, upload, submit, promote, or transmit content or activity that is false, misleading, deceptive, fraudulent, illegal, infringing, harmful, threatening, harassing, hateful, discriminatory, sexually exploitative, obscene, defamatory, or otherwise objectionable.
You may not create fake events, fake businesses, duplicate spam listings, impersonate another person or business, misrepresent authorization to act for a business, or falsely suggest affiliation, approval, sponsorship, or endorsement.
You may not promote unlawful activity, unsafe activity, violence, exploitation, illegal drugs, illegal weapons, illegal gambling, human trafficking, or events that violate applicable law, venue rules, platform rules, or CityPulse policies.
You may not scrape, crawl, harvest, copy, extract, resell, or commercially exploit data from the Service except as expressly permitted in writing.
You may not reverse engineer, interfere with, overload, disrupt, bypass security of, or attempt unauthorized access to the Service or another user's account.
You may not upload malware, spam, harmful code, automated scripts, or content designed to disrupt the Service or compromise CityPulse, users, businesses, or third parties.
You may not use the Service to send unsolicited promotions, spam, or messages outside approved CityPulse features.
You may not use analytics, promotions, or business tools to attempt to identify individual users when CityPulse provides only aggregate or de-identified information.
11. Business Analytics
CityPulse may provide businesses with analytics such as aggregate event views, business profile views, promotion views, promotion clicks, saved-event counts, website clicks, search views, and similar engagement information. Business analytics are intended to help businesses understand general performance and improve their listings.
CityPulse does not intend to show businesses the personal identities of individual users who view, save, share, click, or interact with a listing. Businesses may not use CityPulse analytics or tools to attempt to identify individual users unless CityPulse separately provides a feature that clearly allows a user to share their identity or contact information.
12. Accuracy, Availability, Admission, and Third-Party Services
CityPulse may include information from businesses, venues, users, third-party services, public sources, maps, ratings providers, ticketing providers, reservation systems, social media pages, menus, and other sources. CityPulse does not guarantee that any listing, event, offer, map, distance, rating, link, menu, price, age restriction, schedule, availability, capacity, parking information, venue rule, or admission requirement is accurate, complete, current, available, or error-free.
CityPulse does not guarantee that an event will occur as listed, that a venue will be open, that a user will be admitted, that a special or price will be honored, that a ticket or reservation will be available, that a third-party link will work, or that a venue will meet your expectations.
Third-party services are controlled by third parties and are subject to their own terms and policies. CityPulse is not responsible for third-party content, privacy practices, availability, pricing, security, accuracy, transactions, refunds, or disputes.
13. Location Features
CityPulse uses location-related information to power local discovery, distance estimates, nearby recommendations, maps, filters, and planning features. Location-based results may be approximate and may depend on device settings, manually selected locations, business-provided information, third-party maps or geocoding services, and technical limitations.
CityPulse does not guarantee the accuracy of distances, maps, directions, travel times, transportation options, parking availability, or venue accessibility.
14. Push Notifications and Communications
If you enable notifications, CityPulse may send saved-event alerts, event reminders, interest-based recommendations, local discovery suggestions, account notices, business account notices, promotion-related notices, or service updates. You can disable push notifications through your device settings or through any in-app notification controls we provide.
CityPulse may still send necessary service-related communications by email, in-app message, or other available channels, such as account, security, support, legal, or administrative notices.
15. Intellectual Property
CityPulse, including its name, logo, designs, software, source code, interface, graphics, features, trademarks, service marks, and other materials, is owned by CityPulse or its licensors and is protected by intellectual property and other laws. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly allowed by these Terms or written permission from CityPulse.
If you believe content on the Service infringes your intellectual property rights, contact support@getcitypulseapp.com with sufficient information for us to review the claim.
16. Feedback
If you provide ideas, suggestions, bug reports, feature requests, or other feedback, you grant CityPulse the right to use that feedback without restriction or compensation to you.
17. Privacy
Our collection and use of information is described in the CityPulse Privacy Policy. By using the Service, you acknowledge that CityPulse processes information as described in the Privacy Policy.
18. Account Deletion
You may request deletion of your account by using any in-app deletion tool that CityPulse provides or by contacting support@getcitypulseapp.com. Account deletion may be subject to identity verification, legal retention requirements, fraud-prevention records, unresolved business obligations, remaining transactions, and other lawful exceptions.
Deleting an account may not remove public business listings, event listings, records that CityPulse must retain, or content that has already been shared or cached outside the Service.
19. App Stores
If you download CityPulse from the Apple App Store, Google Play, or another app marketplace, your use may also be subject to that marketplace's terms and policies. Those marketplace providers are not responsible for providing support or maintenance for CityPulse unless required by their own terms.
For iOS users, if CityPulse does not provide a custom end user license agreement through App Store Connect, Apple's standard licensed application end user license agreement may apply in addition to these Terms. If there is a conflict between marketplace terms and these Terms, the marketplace terms may control only to the extent required by that marketplace.
20. Suspension, Removal, and Termination
CityPulse may suspend, restrict, remove, or terminate access to the Service; remove Content; disable listings; remove events; remove businesses; limit promotions; revoke promotional credits; reject future submissions; or refuse future service if we believe you violated these Terms, created risk or possible legal exposure, submitted inaccurate or misleading information, infringed rights, harmed users or businesses, misused promotions or analytics, or used the Service in a way that could damage CityPulse or the public.
You may stop using the Service at any time. Certain sections of these Terms will survive termination, including sections related to content licenses, fees owed, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general legal terms.
21. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYPULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
CITYPULSE DOES NOT GUARANTEE THAT EVENTS WILL OCCUR AS LISTED, THAT VENUES WILL BE OPEN, THAT VENUES WILL HONOR LISTED SPECIALS, THAT PRICES OR AGE RESTRICTIONS WILL BE ACCURATE, THAT USERS WILL BE ADMITTED, THAT THIRD-PARTY LINKS WILL WORK, THAT PROMOTIONS WILL GENERATE RESULTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYPULSE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, EVENT-RELATED LOSSES, ADMISSION DENIALS, CANCELLED EVENTS, MISSED RESERVATIONS, PRICING DISPUTES, THIRD-PARTY TRANSACTIONS, OR PROMOTION PERFORMANCE ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITYPULSE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CITYPULSE FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
23. Indemnification
You agree to defend, indemnify, and hold harmless CityPulse and its owners, officers, employees, contractors, agents, service providers, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your Content, your business listings or promotions, your violation of these Terms, your violation of law, your violation of third-party rights, or your infringement or misappropriation of any rights of another person or entity.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Subject to any mandatory consumer rights or other applicable law, the state and federal courts located in Tennessee will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Service.
25. Changes to the Service or Terms
CityPulse may update the Service and these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by updating the effective date, posting notice in the Service, or sending a communication. Your continued use of the Service after changes become effective means you accept the updated Terms.
26. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms, order forms, invoices, promotion rules, or written agreements that apply to specific features, form the entire agreement between you and CityPulse regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. CityPulse's failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. CityPulse may assign these Terms in connection with a business transaction, financing, acquisition, sale of assets, or by operation of law.
